1. Terms Acceptance
These Terms & Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Clops Technologies Private Limited ("Clops", "we", "us", or "our"), concerning your access to and use of the Clops platform and services. Our platform incorporates Clove CRM, ManageSight ERP, Orbit Campaigns, and other AI automation applications.
By accessing or using the platform, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using our services and must discontinue use immediately.
2. Intellectual Property Rights
Unless otherwise indicated, the platform is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
The Content and Marks are provided on the platform "AS IS" for your information and personal or business use only. Except as expressly provided in these Terms, no part of the platform and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
3. User Obligations and Account
By using the platform, you represent and warrant that:
- All registration information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update such registration information as necessary.
- You have the legal capacity and you agree to comply with these Terms.
- You will not use the platform for any illegal or unauthorized purpose, and your use of the platform will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the platform.
4. Fees and Subscriptions
Some of our services are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Clops cancels it. A valid payment method, including credit card, is required to process payment for your Subscription.
5. Prohibited Activities
You may not access or use the platform for any purpose other than that for which we make the platform available. The platform may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activities include, but are not limited to:
- Systematically retrieving data or other content from the platform to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Circumventing, disabling, or otherwise interfering with security-related features of the platform.
- Using automated systems (such as bots or scrapers) to extract data from our databases or services.
- Using our AI systems (including Clops Voice, Studio, or Workflow) to generate deceptive, harmful, or illegal materials.
6. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the platform, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.
7. Governing Law and Jurisdiction
These Terms and your use of the platform are governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Chennai (Madras jurisdiction), Tamil Nadu, India.
8. Changes to Terms
We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.
